A prohibition may also be imposed if the Minister believes that there is a threat to national security, defence, the enforcement of the legal order or (emergency) assistance. Another example is the interruption of the availability or reliability of a hosting service, Internet node, trust service or a data centre. This includes abuse or deliberate outage of the telecom network which could lead to an unlawful breach of the confidentiality of communication, or an interruption of an Internet access service or telephone service. A threat to the public interest can only exist if the controlling interest leads to ‘relevant influence’ in the telecommunications sector. Relevant influenceĪ transaction can only be blocked if there is an imminent ‘threat to the public interest’. Controlling interestĪ ‘controlling interest’ exists if the party after the acquisition has, for example, at least 30% of the votes in the general meeting of a legal person or if it can appoint or dismiss more than half of the managing directors or supervisory directors of a legal entity, or if it has a special statutory right of control. To date, no such Governmental order was published. Furthermore, an additional category of networks or services may be designated as a telecom party subject to the Act by a Governmental order ( Algemene Maatregel van Bestuur). Data centres which are solely or primarily for personal use are not covered by the Act. It can apply to a branch office or a legal entity, sole proprietorship ( eenmanszaak) or a company established in the Netherlands that is a provider or holder of a controlling interest in a supplier of an electronic communications network or service, a hosting service, an Internet node, a trust service or a data centre. The definition ‘telecom party’ also includes parties other than providers of telecommunications networks and services. The notification requirement does not apply to so-called anti-takeover foundations, which are generally intended to prevent undesired takeovers. The Minister shall then decide within eight weeks whether the transaction will be prohibited although this period can be extended if further investigation is required. If the intention regards a public offer with respect to a listed telecom party, the notification must be made not later than at the time of announcement of the public offer. The notification must be submitted to the Minister not later than eight weeks before the envisaged execution of this intention. The Act stipulates that a party that has the intention to acquire ‘a controlling interest’ in a ‘telecom party’ must notify this to the Minister if that control leads to ‘relevant influence’ in the telecommunications sector. In this article, a bird’s-eye view of the Act and the potential overlap with merger notification procedures under competition law is provided. The Act is of relevance to anyone wishing to acquire control in a Dutch telecom provider, hosting service, Internet node, trust service or data centre. While the Act was prompted by the attempt to takeover KPN by América Móvil in 2013, the Act has wider implications as it affects not only KPN but also other parties. The purpose of the Act is to prevent the acquisition of controlling interests in telecom parties if this may threaten the public interest in the Dutch telecommunications sector. If the controlling interest may result in a ‘threat to the public interest’, the Dutch Minister of Economic Affairs and Climate Policy (“ Minister”) shall prohibit the acquiring or holding of such controlling interest or impose a ban subject to suspensive conditions. The Act introduces a notification requirement applicable to anyone who has the intention to acquire ‘a controlling interest’ in a ‘telecom party’ if such interest results in ‘relevant influence’ in the telecom sector. On, the Act against undesired control in the telecom sector (“ Act“) was adopted by the Dutch Parliament.

The original version actually had 220mg caffeine (correction), along with 600mg of glucuronolactone, 100+mg N-acetyl-tyrosine, and 100+mg L-Phenylalanine. Of course that doesn't matter anymore because their new formula is laughably weak (they dropped those wacky catecholamine precursors down to 1mg, among other things) and represents a crappy value. It's since been replaced with malic acid. And yes, it tasted awful due to the manufacturer's liberal use of Acesulfame potassium, which was about as effective as hiding the stench of a Hong Kong public bathroom with an air freshener. I wouldn't be surprised if Health Canada had a word with them after another "health product" review sweep. I can't confirm it's equivalence to coke but I do remember the original being hella potent. There is often a little show around making this with the stands often turning off their lights so you can see the flames drip down into the wine. The battery pack orientation has been updated since the older ZUMA design and now resides directly behind the seat post tube. This bike isn’t meant for off road riding but it does climb on pavement fairly well and the gears really help (especially the extra large low gear in the rear). Sitting right next to the hub motor is a seven speed Shimano cassette that provides decent range for pedaling at a comfortable cadence. It’s smooth, quiet and fairly powerful, operating in both throttle and pedal assist mode. And even though the gears are apt to wear out a bit more quickly than a gearless design it comes with a two year motor warranty which is great. Being geared, it’s smaller and lighter weight than a gearless equivalent. Powering the new Zuma is a 500 watt geared rear hub motor. It offer great value, and with eight colors and three frame sizes to choose from it would make an excellent choice for anyone who enjoys the comfortable cruiser ride. Before the E3 Dash came out this was my favorite IZIP bike. The chain guard keeps you clean when peddling and optional matching fenders and rear rack make commuting with gear and dealing with wet streets a cinch. This is a comfortable bike that feels great cruising around town thanks to its large ballon tires, soft oversized seat and extended handlebars. It still offers the strength of a 500 watt geared rear hub motor and both pedal assist and throttle mode but is more balanced and agile than ever. The IZIP Zuma underwent a massive update for 2014 with improved battery integration and a new control display panel. I thank the members of this community in advance for your assistance. The following review is for the 2014 IZIP E3 Zuma, the latest version can be found here which includes a higher voltage battery (for improved climbing and power) as well as a refined frame that’s easier to service and add lighting to (also an updated control panel with a lights on/off switch) as well as upgraded mechanical disc brakes from Promax with tool-free adjustment. Also, I am also very interested in recommendations for any other bikes which you feel may be an even better match. I recognize that no one bike will perfectly match all my needs, and compromises will need to be made, but would like recommendations from this user forum as to which of these three bikes you think would best meet most of my needs. Although the E3 Metro and Interceptor apparently have higher wattage motor and higher voltage battery, from what I can ascertain that doesn't translate to higher performance (speed, range, etc.) The one spec that I could not find for any of these bikes is the range when in all electric throttle mode without pedal assist - I'd like hear from anyone with real world experience. I have read the reviews and visited the manufacturers websites for these models. Due to the generally flat terrain, I probably don't need the plethora of speeds that come on most of the better bikes, but guess I don't need to use them.īased upon my own research I have preliminarily arrived at the following three bikes as possible contenders: I prefer the comfort of an upright riding position. I also want to be able to bike with cargo - towel, small cooler and chair when going to the beach fishing rod and supplies when going fishing and light grocery shopping.īased upon my own research it seems that I need a cross between a cruiser, light duty off-road/mountain bike/cargo bike. I would like as long a range as possible. Riding will mostly take place on roadways, but I would like to explore some of the bike paths in the State Parks and elsewhere. I haven't actively ridden a bike in 20 plus years.Īs for usage, I will principally be riding the bike on the coast of Delaware (Rehoboth, Bethany Beach, Fenwick and possibly Ocean City). Although these corrupt police detectives may be killing child molesters (and seem to have a disdain for them), they have no problem raping Sawa multiple times throughout the OVA. But the two detectives have another motive, they run a contract killing syndicate. There is a lot of money in removing from this earth scum that others want dead. The people they are killing are supposedly guilty of heinous crimes. They are trying to kill people who the law isn’t “getting to” for one reason or another. These two police officers, Akai and Kanie, raised her to become an assassin in order to do their dirty work. Akai and Kanie are corrupt police detectives who take the law into their own hands in order to kill child molesters and immoral corporate fat cats. The two detectives who were first on the scene took her in and raised her. This is not some bottom of the barrel over the top violence, there is real thought behind every single scene.įour years ago Sawa’s parents were brutally murdered. There is an elegance to Kite that few anime and live action movies have. This is an anime with a 60 minute running time that makes us care. When people die in this anime we don’t get excited, we get upset. We pity her for having such a horrible childhood. Instead we have a knot in our stomach the entire time, we worry if Sawa is going to be alright. But in The Last Stand we love to see Arnie run some bastards over (spoilers) with a freakin police SUV! We love to watch him spray a minigun at a bunch of killers (spoilers) and then say a witty line ! We get some sort of enjoyment from these crazy, ultraviolent action scenes! Kite has extreme violence and incredible action scenes, but we are never “having fun”. For example, no one ever roots for the young boy to be shot in Babel(at least I hope no one does). This type of violence is what I call empathy violence, as opposed to ultraviolence (where you enjoy the killings). One that does not enjoyably kill off its cast, but when someone dies or is hurt you feel their pain. But there is another kind of violence prevalent in anime, one that is not “fun” to watch. It’s creepy, it’s hateful, and it’s entirely entertaining. This is the type of anime that aims to make you enjoy watching the deaths of others. It is unrefined, crass, dirty, and enjoys killing people. Take for example the disgusting and gruesome Genocyber. Sawa is easily identified for her red gun and her pair of crystal earrings created from the blood of her deceased parents. Many of the shows I review are violent in a way that lacks class and sophistication, but are entirely awesome and gleeful. Detectives Akai and Kanie took her in and trained her as an assassin. If you missed out on the OVA, here’s a little overview: Sawa is a young school girl who was orphaned when her parents died of a double murder case. Jackson (Star Wars, The Avengers) will also be in this film. The live-action film stars India Eisley (The Secret Life of the American Teenager Underworld: Awakening) who fills in the shoes of Sawa with Callan McAuliffe (Flipped, I Am Number Four) taking on the role of Oburi. Ellis (Snakes on a Plane, The Final Destination) suddenly passed away last January 7, 2013. The film has already been finished with director Ralph Ziman (Gangster’s Paradise: Jerusalema, The Zookeeper) who took over the project after director David R. (TWC) has gained worldwide rights to the American live-action take on Kite.
